Terms of Service

These Terms of Service govern your use of the Fiops website and, if your organization has a Fiops workspace, your use of the Fiops platform. By using the site or the platform, you agree to these terms. If you are accepting on behalf of an organization, you confirm you have authority to bind it.
Scope of these terms
These terms cover two things: this website, and the Fiops platform — the workspaces, portals, and related services we provision for our customers and the partners they invite.
If your organization has signed a separate written agreement with Fiops (such as a master services agreement or an order form), that agreement controls where it conflicts with these terms.
Accounts and workspaces
To use the platform you need an account within a customer workspace. You agree to provide accurate information when creating an account, to keep your credentials confidential, and to notify us promptly of any unauthorized use.
Workspace administrators are responsible for who they invite and the roles they grant. Activity under your account is your responsibility.
Acceptable use
You may use the site and the platform only for lawful purposes. You agree not to misuse them, interfere with their operation, probe or breach their security, or attempt to access them other than through the interfaces we provide.
You may not use the platform to store or transmit content that is unlawful, infringing, or harmful, and you may not resell or provide the platform to third parties except as your agreement with Fiops allows.
Your data
As between you and Fiops, your organization owns the data it and its users submit to its workspace. We process that data to provide, secure, and improve the service, as described in our Privacy Policy and any data-processing terms in your agreement.
Each workspace is isolated to the customer it belongs to. We do not use one customer’s data to serve another.
Third-party services
The platform can connect to third-party services — for example electronic-signature and messaging providers — at your direction. Your use of a third-party service is governed by that provider’s own terms, and we are not responsible for third-party services we do not control.
Fees
Paid use of the platform is governed by the subscription or order form your organization agreed to, including its pricing, billing cycle, and payment terms. Unless that agreement says otherwise, fees are non-refundable.
Confidentiality
Each party agrees to protect the other’s non-public information with at least the care it uses for its own, and to use it only as needed to perform under these terms.
Intellectual property
The content, branding, design, and software of the site and the platform are owned by Fiops or its licensors and are protected by applicable intellectual property laws. You may not copy, reproduce, or distribute them without our permission.
We may use feedback you choose to give us without obligation to you.
Submissions
If you submit information through the request-access form, you confirm that the information you provide is accurate and that you are authorized to share it.
We may use your submission to evaluate and respond to your request as described in our Privacy Policy.
Availability and changes to the service
We work to keep the platform available and secure, but we may change, suspend, or discontinue features with reasonable notice where practical. Scheduled maintenance and factors outside our control can affect availability.
Term and termination
Your organization’s subscription term is set by its agreement with Fiops. We may suspend or terminate access for material breach of these terms that is not cured after notice.
Following termination, we will make workspace data available for export for a reasonable period before deletion, as described in your agreement.
No warranties
The site and the platform are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. We do not guarantee that they will be uninterrupted, secure, or error-free.
Limitation of liability
To the fullest extent permitted by law, Fiops will not be liable for any indirect, incidental, or consequential damages arising out of your use of the site or the platform, and our aggregate liability is limited to the amounts your organization paid to Fiops in the twelve months before the claim.
Changes to these terms
We may update these terms from time to time. When we do, we will revise the "last updated" date above and, for material platform changes, give workspace administrators reasonable notice. Your continued use after changes take effect means you accept the revised terms.
